Welcome to Marble Tax! These Terms of Use ("Terms") govern your use of the products, services, and website (collectively, the "Services") provided by KS Technology Inc. (doing business as Marble Tax / Marble) (the "Company"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services on behalf of yourself or your organization. By using the Services, you represent that you have the authority to bind your company or entity to these Terms.

The Company provides cloud-based software solutions designed to help businesses conduct tax research and streamline tax workflow automation. The Company may modify, enhance, or discontinue certain features from time to time without prior notice.

3. Account Registration

You may be required to create an account to use certain Services. You agree to:
  • Provide accurate, current, and complete information.
  • Maintain the confidentiality of your login credentials.
  • Accept responsibility for all activities under your account.
The Company is not liable for any loss resulting from unauthorized use of your account.

4. Fees and Payment

  • Fees for the Services are outlined in your order form, subscription plan, or invoice.
  • All fees are non-refundable unless required by law.
  • The Company may suspend or terminate Services if payment is not received on time.

5. Acceptable Use

You agree not to:
  • Use the Services for unlawful, harmful, or fraudulent purposes.
  • Attempt to reverse-engineer, copy, or resell the Services.
  • Interfere with or disrupt the operation of the Services.
The Company reserves the right to suspend or terminate your access if you violate this section.

6. Intellectual Property

  • The Company retains all rights, title, and interest in and to the Services, including software, trademarks, and content.
  • You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

7. Ownership of Feedback and Ideas

You acknowledge and agree that any feedback, suggestions, or ideas you provide to the Company in connection with the Services shall be the sole and exclusive property of the Company. You hereby assign to the Company all rights, title, and interest in and to any such feedback, suggestions, or ideas, including all associated intellectual property rights. You retain no rights therein.

  • You own all data you input into the Services.
  • By using the Services, you grant the Company the right to process and store data as necessary to provide the Services.
  • The Company's use of data is subject to its Privacy Policy.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed in connection with the Services, and to use such information only for the purposes of fulfilling their obligations under these Terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. The Company does not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law:
  • The Company shall not be liable for indirect, incidental, or consequential damages.
  • The Company's total liability for any claim shall not exceed the amount paid by you to the Company for the Services in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, or expenses arising out of your use of the Services, your violation of these Terms, or infringement of third-party rights.

13. Termination

You may stop using the Services at any time. The Company may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in activities that harm the Services or other users.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York, New York.

15. Changes to Terms

The Company may update these Terms from time to time. If material changes are made, the Company will notify you by email or through the Services. Your continued use constitutes acceptance of the revised Terms.
